Episode Details

Every business owner dreams of the day they finally cash out on decades of sweat equity. Yet according to industry data, 8 to 9 out of every 10 small- to mid-sized businesses (SMEs) that go to market never actually sell. Even worse, the 10% of founders who do cross the finish line typically lose 30% to 50% of their sale proceeds to unexpected taxes, broker commissions, and advisory fees.

In a recent episode of Building the Premier Accounting Firm, host Roger Knecht sat down with Marc Adams to unpack why so many founders get trapped at exit—and how accounting professionals and fractional CFOs can step in to help clients build transferable, high-multiple companies and keep more of what they earn.

Meet the Expert: Marc Adams

Marc Adams is a seasoned strategy mentor, M&A advisor, and business exit planner with Acquisitions4You (ACU). He is the two-time #1 bestselling author of The Secrets to 10Xing Your Business and Cashing Out Tax-Free and The Secrets of the AI-Powered Exit, both of which have been featured in Times Square.

Marc’s mission is deeply personal. In late 2020, he was diagnosed with terminal stage-four cancer and given just six months to live. While recovering from major surgery—and simultaneously battling the original strain of COVID-19, which doctors believe triggered an immune response that ultimately cleared his cancer—his 10-year-old son, Thomas, overheard him discussing a business deal that fell through. When Marc explained that 9 out of 10 small businesses never sell because their profit fundamentals don’t support the price the founder needs to retire, Thomas asked a haunting question: “What happens to their moms and dads if they get sick and die? Who looks after their families? Those are the nine you need to help.”

Keeping his promise to his son, Marc dedicated his second chance at life to helping founder-led businesses and CPA firm owners double their company value in 6 to 18 months without equity dilution or personal guarantees, while structuring smarter, tax-efficient exits.

1. The Valuation Gap & The 30%–50% “Exit Leakage” Trap

Why do so many businesses fail to sell? Typically, it is not because the founder is greedy—it is because they calculate what they need to retire without accounting for exit leakage.

Most business owners wait until 6 to 12 months before they want to retire to think about selling. By then, they discover a brutal mathematical reality:

  • If a business sells for $5 million the traditional way without advance tax and entity structuring, state and federal capital gains taxes, broker commissions, and legal fees will swallow 30% to 50% of the check (especially in high-tax states like California or New York).

  • Walking away with $2.5 million to $3.5 million often isn’t enough to fund the founder’s post-exit lifestyle, forcing them to overprice the company on the market—where it sits unsold.

The Warning for Accountants: You cannot wait until 90 days before a sale to restructure a client’s entity (e.g., shifting between an LLC, S-Corp, or C-Corp) to save on taxes. If a restructuring happens right before closing solely to avoid tax liability, the IRS will scrutinize and unwind the transaction. True exit planning must begin 1 to 5 years in advance.

2. How “Lifestyle” Tax Write-Offs Secretly Destroy Valuation

For 95% of a business’s lifecycle, the business owner and their CPA share one primary goal: legally minimizing annual tax liability. Founders run vehicles, travel, family expenses, and discretionary perks through the company books to lower their net taxable income.

However, in the 2 to 3 years leading up to an exit, that exact tax-minimization strategy becomes a valuation killer.

“For every $10,000 that goes through the business that didn’t need to… it will cost you $40,000 to $60,000 on the bottom line.” — Marc Adams

When a buyer evaluates a company trading at a 4x to 6x EBITDA multiple, every $10,000 of personal “lifestyle” expense depressing the P&L wipes out $40,000 to $60,000 in enterprise value. While brokers often try to use “adjusted EBITDA” add-backs during due diligence, aggressive write-offs raise red flags with buyers and lenders, eroding trust and lowering the multiple.

As a strategic advisor, your job is to sit down with your clients twice a year, identify their exit timeline, and transition their financial strategy from tax minimization to valuation maximization.

3. What Buyers Actually Pay For: “Transfer of Value”

Buyers do not pay for a founder’s past sweat equity; buyers pay for confidence in future profits.

If a business generates $1.5 million in EBITDA, its valuation multiple can swing wildly depending on its Transfer of Value—how reliably the company can generate those profits without the founder in the building:

  • The Founder-Dependent Business (1.5x–2x Multiple): If every client relationship, sales quote, and operational decision runs through the owner’s head, the buyer isn’t buying a business—they are buying a high-stress job. On $5M in revenue ($1.5M EBITDA), this company might only fetch $7.5 million.

  • The Turnkey, AI-Enabled Business (3x–5x+ Multiple): When that same business has a second-tier management team, documented Standard Operating Procedures (SOPs), and practical AI workflows that increase order capacity and margins, it commands $15 million to $18 million—plus potential strategic premiums that can push the deal to $25 million.

4. The AI Valuation Premium

In his book, The Secrets of the AI-Powered Exit, Marc emphasizes that buyers are actively rewarding companies that have moved past “chatting with AI” and integrated it into their core operations.

Businesses that use AI to automate repetitive administrative bottlenecks, speed up customer fulfillment, and increase revenue per employee demonstrate higher future margin certainty. Conversely, companies that ignore AI are already facing discounted valuations because buyers view them as technologically behind and expensive to modernize.

5. The CFO Exit Advisory Checklist: 4 Conversations to Have Now

Accountants and fractional CFOs are the most trusted advisors a business owner has. To help your clients (and your own firm) build a sellable asset, integrate these four steps into your semi-annual strategy reviews:

  1. Start With the End in Mind: Ask the client: “When do you want to exit (1, 3, 5, or 10 years), and how much net cash do you need in the bank after taxes to fund your next chapter?”

  2. Audit Their Pricing Power Annually: Business owners are notorious for adding value while leaving their prices stagnant for years. Ask every client once a year: “When was the last time you raised your prices?” Even a modest price increase flows almost entirely to net EBITDA, multiplying the company’s exit valuation overnight.

  3. Explore Growth Through Acquisition (M&A): Organic growth is slow. Show profitable clients how acquiring a smaller competitor (using cash flow, SBA financing, or aligned capital) can instantly double their revenue, expand their market share, and bump them into a higher EBITDA multiple bracket.

  4. Turn Your Own CPA Practice Into a Sellable Asset: Stop running your accounting firm like a glorified client list. By implementing turnkey workflows, delegating client relationships across your team, and locking in recurring monthly advisory revenue, you transform your practice from a 1x book-of-business into a high-multiple enterprise.

6. Compressing the Private Equity Playbook

Traditionally, Private Equity (PE) firms buy a “platform” company, spend 7 years bolting on smaller acquisitions to expand the EBITDA multiple, and keep the massive backend windfall for their institutional investors.

At Acquisitions4You, Marc works alongside CPAs and business owners to compress that 7-year institutional playbook into 6 to 18 months—using aligned capital to group complementary businesses together, double enterprise value without equity dilution or personal guarantees, and pair it with proactive CPA and legal structuring so founders keep up to 90% of the proceeds.
